Twilight™ Demonstration Agreement

This Demonstration Agreement (“Agreement”) is entered into between Evoq Technologies Corp (“Evoq”) and the undersigned practice (“Practice”) for the purpose of evaluating the Twilight™ Dark Adaptometer (“Device”).

1. Demonstration Period

• The Device will be provided to the Practice for a 30-day Demonstration Period, commencing on the date of delivery.
• The intent of the demonstration is to allow the Practice to evaluate Twilight in their own workflow, collect patient experience, and review clinical/economic impact.
• Extensions beyond 30 days must be approved in writing by Evoq.

2. Evoq Responsibilities

• Evoq will provide:
  • Delivery of the Device, console, headset, headphones, and starter consumables.
  • Virtual setup and validation (charging, power on, Wi-Fi, Evoq Cloud account access, console, headset, and headphone function).
• Training and Certification
  • Virtual training sessions (staff + medical).
  • Certification for at least one operator during the demonstration.
• Support
  • Weekly review calls.
  • Access to Evoq Cloud usage reports.
  • Technical support throughout the demonstration.

3. Practice Responsibilities

• The Practice commits to:
  • Using Twilight with at least 20 patients during the 30-day Demonstration Period.
  • Designating a “Twilight Champion” (staff member) to oversee usage and communication.
  • Purchasing and using consumables at demonstration price (credited towards the first official order if the Practice purchases or leases Twilight).
  • Participating in an ROI Review Session with Evoq upon completion of the demonstration.

4. Decision Point (Day 30)

• At the end of the demonstration, the Practice must elect one of the following options:
  • a) Purchase: The demonstration unit converts to the Practice's permanent device. The Practice receives an $800 credit applied to the purchase price, valid until 12/31/2025. All consumables bought during the demo are credited to the first order.
  • b) Lease: The demonstration unit transitions directly into a lease agreement under Evoq’s standard terms. The Practice receives an $800 credit applied to the first billing cycle,valid until 12/31/2025. Consumables bought during the demo are credited to the first order.
  • c) Return: The Practice may return the Device at no cost beyond the purchased consumables. Evoq provides a pre-paid return shipping label. The Practice must return the Device in good working condition (normal wear and tear acceptable).
